AT&T to be Penalized if T-Mobile Deal Falls Through

AT&T highlighted a few more details today regarding their new merger with T-Mobile that will be enforced should the deal fall through, ultimately making the situation “win-win” for T-Mobile.

If the government decides to kill the deal or subjects AT&T to terms they deem unacceptable, AT&T would then owe T-Mobile $3 billion as well as the transfers of any AWS spectrum licenses that are not crucial to AT&T’s LTE deployment should it have to attempt it alone. They would also have to accept a roaming deal with T-Mobile for places that T-Mobile does not have adequate coverage which would in turn imporve T-Mobile network to match AT&T’s whether they merge or not.
